Brokerage agreement

The parties agree to the following:
  1. Mandate
The client grants the broker the exclusive mandate to sell the property. For this purpose, the client grants the broker all rights necessary for arranging a successful sale opportunity for the property, particularly any form of advertising of the property.
  1. Exclusivity
The client commits not to engage any third parties for the sale of the property and not to undertake any personal sales efforts during the term of this contract, unless with the explicit written consent of the broker.
In case of violations against the preceding paragraph of section 2, the provisions of this contract, especially those in section 3, remain applicable even if the sale of the property was concluded through a third party or the client. A commission remains fully payable according to section 3 of this contract in such cases.
  1. Commission
As soon as a purchase contract for the property is concluded, the client owes the broker a commission of 5% of the actual sales price, but at minimum CHF 3,000.— (plus VAT, if applicable).
  1. Continuation of Commission Entitlement
The commission entitlement remains payable for 6 months beyond the termination of this contract if, within 6 months after the contract ends, a sale, participation, transfer of shares or any other change in the commercial register takes place that can be traced back to the broker’s contacts.
In this case, the client must prove that the change described in the preceding paragraph is not attributable to the broker’s contacts.
  1. Term and Termination
This contract begins with the mandate according to section 1 of this contract and ends with the successful sale of the property. This contract may be terminated by either party at any time without notice period even without a successful sale of the property. Section 4 remains reserved.
In case of termination by the client, they owe the broker a lump sum compensation of CHF 1,500.— (plus VAT, if applicable) for expenses incurred by the broker. Further compensation for damages remains reserved.
  1. Jurisdiction and Applicable Law
Swiss law applies to this contract.
For disputes arising from this contract, the courts of the city of Basel have exclusive jurisdiction.
